Terms of Service

1. Eligibility

• You must be at least 18 years old, or of legal age in your jurisdiction, to use the Services.
• You represent and warrant that the information you provide is accurate and complete.

2. Account Registration

To access certain features, you must register for an account. You are solely responsible for maintaining the confidentiality of your account credentials and ensuring that they are not shared with others. You agree to notify us immediately of any unauthorized use of your account. Each user must keep their login credentials confidential at all times.

3. Subscription Plans

a) Plan Types

We offer multiple subscription plans (e.g., Basic, Professional, Enterprise). Each plan includes specific features and limitations as described on our website or within the application.

b) Fees

• Subscription fees are payable in advance for the selected billing cycle.
• Fees are non-refundable except as required by law or explicitly stated in these Terms.

c) Upgrades & Downgrades

• Upgrades: Take effect immediately. Any unused balance from your current plan will be credited, and you must pay the adjusted amount.
• Downgrades: Take effect at the end of the current billing cycle. Until then, your existing plan remains active.

d) Renewals

• Subscriptions must be renewed before the expiry date to maintain access.
• Renewal charges will be based on the plan selected at renewal.
• If a plan is discontinued, you may be required to choose an alternative plan.

e) Cancellation & Revocation

• You may cancel your subscription at any time.
• Cancelled subscriptions remain active until the end of the paid billing cycle.
• No refunds will be provided for the remaining period.
• You may revoke a cancellation request before the end of the cycle to restore your subscription.

f) Billing & Invoices

• All payments are processed via secure third-party payment gateways.
• You can access your invoice history from your account, including downloadable copies of the last five invoices.
• If there are pending invoices, subscription changes (upgrade/downgrade) cannot be processed until payment is cleared.

g) Additional User Cost

Any users exceeding the plan's allotted user count will be considered additional users. Charges for these additional users will apply, and an invoice will be generated for the billing cycle reflecting the additional user fees.

h) Payment Failures

• If a payment attempt fails, your subscription status will remain unchanged, and you may retry payment.
• Persistent non-payment beyond the grace period may result in suspension or termination of services.

4. Use of Services

You agree not to:

• Misuse, reverse engineer, or interfere with the Services.
• Violate applicable laws, regulations, or third-party rights.
• Use the Services for unlawful or fraudulent purposes.

5. Data & Privacy

• Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.
• By using the Services, you consent to such data practices.

6. Intellectual Property

• All content, software, and technology provided by the Services remain the property of the Company.
• You are granted a limited, non-exclusive, non-transferable license to use the Services as intended.

7. Service Modifications

• We reserve the right to modify, suspend, or discontinue features of the Services with prior notice where reasonable.
• We are not liable for service unavailability due to maintenance, technical issues, or force majeure events.

8. Termination

We may suspend or terminate your account if you:

• Violate these Terms.
• Fail to pay applicable fees.
• Engage in fraudulent or unlawful activity.

Upon termination, your right to access the Services will cease immediately.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided "as is" without warranties of any kind.
• The Company is not liable for any indirect, incidental, or consequential damages arising from your use of the Services.

10. Indemnification

You agree to indemnify and hold harmless the Company, its officers, and employees from claims, damages, or liabilities arising out of your misuse of the Services or violation of these Terms.

11. Governing Law & Dispute Resolution

• These Terms are governed by the laws of India.
• Any disputes shall be subject to the exclusive jurisdiction of the courts in Kerala, India.

12. Changes to Terms

We may update these Terms periodically. Updates will be communicated through the application or email. Continued use of the Services after updates constitutes acceptance of the revised Terms.
